1. Agreement to Terms

Welcome to Hisland Sweden AB (“Hisland”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website hisland.com (the “Website”) and the services we provide (collectively, the “Services”).

By accessing or using our Website or Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Website or Services.

These Terms constitute a legally binding agreement between you and Hisland Sweden AB, a Swedish limited liability company with organizational number , registered at Trappgränd 17, 442 31 Kungälv, Sweden.

2. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Website unless otherwise specified. Your continued use of the Website or Services after changes are posted constitutes your acceptance of the modified Terms.

We will make reasonable efforts to notify you of material changes through prominent notice on the Website or via email to registered users.

3. Description of Services

Hisland provides engineering, consulting, and leadership development services, including but not limited to:

  • Engineering & Product Development: Solution providing for automotive, energy, manufacturing, smart cities, and AI systems
  • Consulting & Resource Support: Deployment of Hislander consultants to client projects
  • Leadership Development (Dynalope): Training programs and life management platform

Detailed service specifications, deliverables, timelines, and compensation are defined in separate service agreements or statements of work executed between Hisland and clients.

4. Use of Website

4.1 Eligibility

You must be at least 18 years old to use our Services. By using the Website, you represent and warrant that you meet this age requirement.

4.2 Account Registration

Certain features of our Website may require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your password and account
  • Immediately notify us of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

4.3 Prohibited Uses

You agree not to use the Website or Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit harmful, offensive, defamatory, or unlawful content
  • Interfere with or disrupt the integrity or performance of the Website

All content on the Website, including but not limited to text, graphics, logos, images, software, and the compilation thereof (“Content”), is the property of Hisland Sweden AB or its licensors and is protected by Swedish and international copyright, trademark, and other intellectual property laws.

The Hisland name, logo, and “Eternal Evolution” tagline are trademarks of Hisland Sweden AB. “Dynalope” is a proprietary product name and trademark of Hisland. You may not use these trademarks without our prior written permission.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for personal or internal business purposes. This license does not permit:

  • Modification, reproduction, or distribution of Website content
  • Commercial exploitation of the Website or Content
  • Downloading (except for page caching) or copying for benefit of third parties
  • Use of data mining, robots, or similar data gathering tools

5.3 User Content

If you submit, post, or transmit any content to the Website (“User Content”), you grant Hisland a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purposes of operating and improving our Services.

You represent and warrant that you own or have necessary rights to any User Content you submit and that such content does not violate any third-party rights or applicable laws.

6. Client Services and Agreements

These Terms govern use of the Website. Provision of professional services (engineering, consulting, Dynalope programs) is governed by separate written agreements between Hisland and clients (“Service Agreements”).

Service Agreements typically address:

  • Scope of work and deliverables
  • Project timelines and milestones
  • Compensation and payment terms
  • Intellectual property ownership
  • Confidentiality obligations
  • Warranties and liability limitations
  • Termination conditions

In the event of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to the provision of services.

7. Privacy and Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you consent to our data practices as described in the Privacy Policy.

We process personal data in accordance with the General Data Protection Regulation (GDPR) and Swedish Data Protection Act (2018:218). For business-to-business services, a separate Data Processing Agreement may be executed.

8. Third-Party Links and Services

Our Website may contain links to third-party websites or services that are not owned or controlled by Hisland. We have no control over and assume no responsibility for the content, privacy policies, or practices of third-party websites or services.

You acknowledge and agree that Hisland shall not be responsible or liable for any damage or loss caused by your use of any third-party content, goods, or services.

9. Disclaimers and Limitations of Liability

9.1 Website “As Is”

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of information on the Website.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HISLAND SWEDEN AB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Website
  • Any conduct or content of any third party on the Website
  • Any content obtained from the Website
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL HISLAND’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID HISLAND IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Hisland has been advised of the possibility of such damage.

9.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Hisland Sweden AB and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Website, including but not limited to your User Content, any use of the Website’s content or services other than as expressly authorized in these Terms.

11. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Website will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination of access to the Website does not affect any Service Agreements in place, which remain subject to their own termination provisions.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be resolved as follows:

Informal Negotiation:

The parties shall first attempt to resolve any dispute through good faith negotiations for a period of thirty (30) days.

Mediation:

If negotiations fail, the parties may agree to submit the dispute to mediation administered by a mutually agreed mediator or mediation institute.

Arbitration:

If mediation does not resolve the dispute, it shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce. The arbitration shall be conducted in accordance with the Institute’s rules. The seat of arbitration shall be Stockholm, Sweden, and the language shall be English or Swedish as agreed by the parties.

12.3 Jurisdiction

Notwithstanding the arbitration provision above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Hisland regarding use of the Website and supersede all prior agreements and understandings.

13.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

13.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.

13.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

13.5 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties to these Terms.
